Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Rudonest School ERP SaaS platform and related services provided by Rudocode (OPC) Private Limited ("Rudocode", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.
1. Definitions
- "Services" means the Rudonest cloud platform, marketing website, documentation, support and related offerings.
- "Customer" or "School" means the educational institution or organization that subscribes to Rudonest.
- "Authorized Users" means individuals permitted by the School to access the Services, including administrators, teachers, staff and parents.
- "Customer Data" means data submitted to or stored within the Services by the School or its Authorized Users.
2. Account Registration and Access
Schools must provide accurate registration information and maintain the confidentiality of account credentials. Schools are responsible for all activity under their accounts and for ensuring Authorized Users comply with these Terms. Role-based access must be configured appropriately to protect sensitive data.
3. Subscription and Fees
Access to Rudonest requires an active subscription at the plan level agreed during sales. Fees are billed as specified in your order form or service agreement. Failure to pay may result in suspension of access after reasonable notice. Pricing on the marketing website is illustrative; binding terms are set forth in your signed agreement.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of applicable regulations.
- Attempt to gain unauthorized access to the Services, other accounts or underlying systems.
- Reverse engineer, decompile or disassemble any part of the Services except as permitted by law.
- Introduce malware, interfere with service availability or overload infrastructure.
- Resell, sublicense or redistribute the Services without written authorization from Rudocode.
5. Customer Data and Privacy
Schools retain ownership of Customer Data. Rudocode processes Customer Data solely to provide and improve the Services, as described in our Privacy Policy. Schools are responsible for the accuracy, legality and appropriateness of Customer Data and for obtaining necessary consents from students, parents and staff.
6. Intellectual Property
Rudocode retains all rights, title and interest in the Services, including software, documentation, branding, designs and underlying technology. These Terms do not grant any ownership rights. Schools receive a limited, non-exclusive, non-transferable license to use the Services during the subscription term.
7. Service Availability and Updates
We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance, updates and improvements may temporarily affect availability. Rudocode may update features, interfaces and functionality as part of continuous product development.
8. Support and Training
Support and training scope depends on your subscription plan. Standard support is available via email; higher-tier plans include priority support, guided onboarding and dedicated account management as specified in your agreement.
9. Confidentiality
Each party agrees to protect the other's confidential information and use it only for purposes related to the Services. This obligation survives termination for a period of three (3) years.
10. Limitation of Liability
To the maximum extent permitted by law, Rudocode shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our aggregate liability for claims arising from the Services shall not exceed the fees paid by the School in the twelve (12) months preceding the claim.
11. Indemnification
Schools agree to indemnify and hold Rudocode harmless from claims arising from Customer Data, misuse of the Services, or violation of these Terms by the School or its Authorized Users.
12. Term and Termination
Subscriptions continue for the agreed term and renew as specified in your agreement. Either party may terminate for material breach if not cured within thirty (30) days of written notice. Upon termination, access is revoked and data handling follows the terms of your service agreement.
13. Governing Law
These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in India, unless otherwise agreed in writing.
14. Changes to Terms
We may modify these Terms with reasonable notice. Material changes will be communicated to registered administrators. Continued use after the effective date constitutes acceptance.
